OFFICIAL RULES

NO PURCHASE IS NECESSARY TO ENTER OR WIN THIS GIVEAWAY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID OUTSIDE OF THE USA. The giveaway shall be subject to these Official Rules and by entering, all entrants agree that they have read these Official Rules and will abide by and be bound by the terms and conditions herein.

TIMING: The Big Catch Giveaway (the “Giveaway”) begins at 12:00 am Central Time, April 3, 2023 and ends at 11:59pm Central Time, December 15, 2023 (“Entry Period”).

ELIGIBILITY: The Giveaway is open only to legal residents of the United States of America (the “USA”), 18 years of age or older who as of the date of entry are 18 years of age or older and are a Foodservice Operator (a third-party that provides food, beverage or vending services at their facilities) within the USA (the “Entrant”). Entry forms must include the business address and contact information. All employees, distributors, retailers, officers, directors, representatives, or agents of High Liner Foods Incorporated and High Liner Foods (USA) Incorporated (collectively known as “High Liner” or the “Sponsor”) as well as their immediate family (spouse, parents, children and siblings, whether biological, adoptive, step or in-law) and household members of each such employee, distributors, retailers, officers, directors, representatives, or agents are not eligible to participate or win this Giveaway. The Giveaway is subject to all applicable federal, state, and local laws and regulations and is void where prohibited. Each Foodservice Operator may enter the Contest in accordance with the requirements as described below.

HOW TO ENTER: During the Entry Period, any Foodservice Operator who signs up for “The Big Catch” email newsletter by completing the subscription form on www.highinerfoodservice.com will automatically be entered into the draw.

WINNER SELECTION: One (1) winner will be selected each month starting April 2023, on the last business day of each month including December 2023. The winner will be selected by random drawing from among all eligible entries received up to and including that specific month during the Giveaway Entry Period. Nine (9) winners will be selected in total during the full Giveaway Entry Period. Random drawing of each winner will be conducted by the Sponsor or its designee, whose decisions are and shall be final and binding in all matters relating to this Giveaway. Random drawing with happen on April 28, 2023, May 31, 2023, June 30, 2023, July 31, 2023, August 31, 2023, September 29, 2023, October 31, 2023, November 30, 2023, and December 29, 2023 (the “Draw Date”). Each winner will be subsequently contacted by Sponsor and asked to answer a mathematical skill-testing question, and upon providing the correct answer will be deemed a winner.

WINNER NOTIFICATION: The Sponsor or its designated representative will make a minimum of two (2) attempts to contact the selected Entrant (using the information provided at time of Entry) within three (3) business days of the Draw Date. If the selected Entrant cannot be contacted within three (3) business days of the Draw Date, or if there is a return of any notification as undeliverable; then he/she may, in the sole discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to the Prize) and the Sponsor reserves the right, in its sole discretion and time permitting, o randomly select an alternate eligible Entrant from among the remaining eligible Entries (in which case the foregoing provisions of this section shall apply to such newly selected Entrant).

RELEASE: Potential winners will also be required to execute an affidavit of eligibility/liability/publicity release (a "Release") prior to receiving the prize. All Releases must be returned to Sponsor no later than three (3) days after receipt, unless otherwise stated by Sponsor. A prize will be forfeited, and, in such case, an alternate winner may be randomly selected from among the remaining eligible entries if a selected winner: (i) cannot be reached within the above stated deadlines; (ii) fails to sign and return Release as required pursuant to these Official Rules; or (iii) cannot or will not accept or receive the prize for any reason. Eligibility, age, and all claims made by a potential winner are subject to verification. Sponsor is not responsible for fraudulent prize notifications made by persons other than Sponsor.

Acceptance of the prize constitutes permission (except where prohibited) for the Sponsor to use the winner’s name, likeness, biography, statements, and any other similar materials for marketing, promotional and publicity purposes without additional compensation, approvals, or any limitation.

PRIZES: Nine (9) Official Winners will each receive four (4) cases of High Liner seafood products selected from the list provided by the Sponsor. Limit one prize per Entrant. Limitations and conditions may apply as stated by Sponsor or in prize materials. The four (4) cases will be shipped together as a one-time order and will be delivered within 4-6 weeks from Sponsor receiving signed release form and order selection.

LIMITATIONS ON ENTRIES

There is a limit of one (1) Entry per Entrant, per email address, during the Contest Period.

Any Entry that does not follow the above applicable requirements as provided in these Rules (as determined by Sponsor in its sole and absolute discretion) will not be eligible for entry in this Contest.

By entering the Contest, each Entrant agrees to be legally bound by the terms and conditions of these Rules.

The Prize is non-transferable, non-assignable and has no cash value. No prize substitution or cash redemption allowed by the winner. Sponsor reserves the right to substitute a prize of comparable value for any reason at any time. Prize may not be sold, bartered or exchanged by winner. Prize is provided "as is" and without any warranty of any kind. By accepting the prize, each winner acknowledges compliance with these Official Rules and sufficiency of the prize was awarded.

ODDS: The odds of winning any prize depend on the total number of eligible entries received for the Giveaway.

GENERAL TERMS/LIMITATIONS OF LIABILITY: The Giveaway is subject to these complete Official Rules. By participating, Entrants agree: (i) to be bound by these complete Official Rules; and (ii) to waive any right to claim ambiguity in the Giveaway or these Official Rules. All decisions made by Sponsor are final in all matters relating to Giveaway and cannot be appealed.

By participating and/or accepting a prize, winners and Entrants agree to release, discharge and hold harmless Sponsor (including, without limitation, its respective employees, officers, directors, representatives, agents, subsidiaries and affiliated entities), and its affiliates advertising and promotion entities, prize suppliers, fulfillment agencies and any person or entity associated with the production or administration of the Giveaway or the awarding of prizes, (collectively, the "Releasees") from and against any and all claims, actions, demands, liabilities, losses or damages of any kind whatsoever (including, without limitation, bodily injury, personal injury, death, disability and property damage), costs and expenses (including, without limitation, reasonable attorneys’ fees, court costs, settlement and disbursements) directly or indirectly arising from or in connection with their participation in the Giveaway and/or the redemption, awarding, receipt and/or use or misuse, loss or misdirection of prize or any portion of a prize and participation in any prize-related activities and hereby waive all rights to claim punitive, incidental and consequential damages (unless such waiver is otherwise prohibited by the winner’s state of legal residence).

Releasees are not liable to winner or any other person for failure to supply a prize or any part hereof by reasons of any act of God, any action, regulation, order or request by any governmental or quasi-government entity, equipment failure, terrorist, acts, earthquake, war, fire, flood, explosion, severe weather, embargo, labor dispute or strike (whether legal or illegal) labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot or any similar or dissimilar event beyond Releasees’ reasonable control (including Giveaway cancellations or rescheduling).

Sponsor reserves the right to use the Giveaway for publicity purposes in any media, and to use the names, likenesses, and hometown names and/or prize information of winners as part of that publicity, without any notification, compensation, prior review, or approval unless prohibited by law.

Sponsor reserves the right to disqualify any Entrant it finds to be tampering with the entry process or the operation of the giveaway or violating or attempting to violate these Official Rules.

The Released Parties will not be liable for: (i) any failure of any Website during the Giveaway; (ii) any technical malfunction or other problems relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Entry, or other material to be received, captured or recorded for any reason, including, but not limited to, technical problems or traffic congestion on the Internet or at any website; (iv) any injury or damage to an Entrant’s or any other person’s computer or other device related to or resulting from participating in the Giveaway; and/or (v) any combination of the above.

Sponsor disclaims any liability for damage to any computer system resulting from participating in, accessing, or downloading information in connection with this Giveaway, and reserves the right, in its sole discretion, to cancel, modify or suspend the Giveaway should a virus, bug, computer problem, unauthorized intervention or other causes beyond Sponsor’s control, corrupt the administration, security or proper operation of the Giveaway.

Sponsor may prohibit you from participating in the Giveaway or winning a prize if, in its sole discretion, it determines you are attempting to undermine the legitimate operation of the Giveaway by cheating, hacking, deception, or any other unfair playing practices of intending to annoy, abuse, threaten or harass any other Entrants or Sponsor representatives.

ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE GIVEAWAY SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF DELAWARE WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.
